2.1. Quick Summary

These Terms of Service ("Terms") establish the contractual framework governing your access to and utilization of the TechnoTaLim Console and ancillary services ("Services") offered by TECHNOTALIM PLATFORM AND SERVICES LLP ("we," "us," or "our"). They delineate user responsibilities, service parameters, and dispute mechanisms to foster a secure, equitable platform ecosystem.

2.2. Introduction

2.2.1. Parties to the Agreement

This binding agreement is executed between TECHNOTALIM PLATFORM AND SERVICES LLP, an Indian Limited Liability Partnership domiciled at Techno TaLim 13/229,ANSAR ISLAM MADRASSA, PUNNAYUR,EDAKKAZHIYOOR, Thrissur - Kerala, India, as the service provider ("we," "us," or "our"), and you, the individual or entity accessing the Services ("you," "your"), collectively forming the "Parties" with mutual obligations hereunder.

2.2.2. Acceptance of Terms

By registering an account, accessing the platform, or otherwise engaging with our Services, you unequivocally accept these Terms in their entirety, affirming your legal capacity (minimum age of 18 years or equivalent emancipation) to enter this agreement; such acceptance renders the Terms a fully enforceable contract, superseding any prior understandings.

2.2.3. Modifications to Terms

We reserve the right to amend these Terms periodically to reflect operational, legal, or technological evolutions, with changes disseminated via email notifications, in-app alerts, or website postings at least 30 days prior to effectiveness; if you object, you may terminate your account without penalty, ceasing use to avoid implied consent.

2.3. Definitions

2.3.1. Service Definitions

"TechnoTaLim Console" refers to our proprietary web-based management dashboard for hosting oversight; "Hosting Services" encompass domain registration, server provisioning, and content delivery networks facilitated through our infrastructure; "API" denotes our Application Programming Interface enabling programmatic integrations; "Content" broadly includes any user-uploaded data, files, code, or metadata transmitted via the Services.

2.3.2. Account Definitions

"User" signifies any authenticated individual or representative utilizing our Services; "Account" constitutes your registered profile encompassing credentials and settings; "Administrator" designates the primary account holder vested with comprehensive privileges, including sub-user management and billing oversight.

2.3.3. Legal Definitions

"Intermediary" aligns with Section 2(1)(w) of the Information Technology Act, 2000, positioning us as a conduit for user-generated content; "Sensitive Personal Data" follows Schedule II of the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, covering biometrics, financials, and health records; "Intellectual Property" encapsulates patents, trademarks, copyrights, trade secrets, and analogous rights under Indian and international law.

2.4. Account Rules & User Obligations

2.4.1. Account Creation

To initiate an Account, you must furnish accurate, current details including name, email, and verification proofs; all submissions must be truthful to avert suspension, with a strict policy limiting one active Account per unique user or entity to prevent abuse.

2.4.2. Account Security

Passwords must adhere to complexity standards (e.g., 12+ characters, alphanumeric mix); you bear sole responsibility for safeguarding credentials against unauthorized use, promptly notifying us via support@technotalim.com of any suspected breaches to enable swift remediation.

2.4.3. Account Usage

Accounts are licensed for legitimate, non-commercial personal or business purposes aligned with these Terms; credential sharing is expressly prohibited, with distinctions maintained between personal (individual-focused) and business (organizational) Accounts to ensure compliance and scalability.

2.4.4. Account Termination

You may terminate your Account anytime through dashboard settings, triggering prorated refunds where applicable; we retain unilateral rights to suspend or terminate for violations, with post-termination data retention limited to 30 days for backups or legal holds before secure erasure.

2.5. Acceptable Use Policy

2.5.1. General Prohibitions

Users are barred from engaging in unlawful acts (e.g., cybercrimes under IT Act), deceptive schemes (e.g., scams), or encroachments on third-party rights (e.g., privacy invasions), with violations exposing you to immediate suspension and civil/criminal liability.

2.5.2. Content Prohibitions

Prohibited Content includes materials contravening Indian Penal Code (Prohibited Content includes: hate speech, defamatory material, obscene or sexually explicit content (Section 292 IPC), copyright-infringing works, pirated software, malware or viruses, terrorist propaganda, fraudulent schemes, impersonation, child sexual abuse material (CSAM), unauthorized data scraping, harassment, privacy violations, promotion of self-harm, and unlawful commercial activity, etc.), defamatory statements impugning reputations, obscene depictions under Section 292 IPC, copyright infringements, or malware-laden files that jeopardize platform integrity.

2.5.3. Technical Prohibitions

Unauthorized intrusions (e.g., DDoS attacks), malware dissemination, excessive resource consumption (e.g., crypto-mining), or service disruptions (e.g., port scanning) are strictly forbidden, monitored via automated tools to uphold network stability.

2.5.4. Specific Hosting Prohibitions

Hosted sites must eschew phishing simulations, pirated media repositories, unsolicited bulk email operations, or platforms promoting discrimination/violence, with proactive scans enforcing these standards.

2.6. Content Ownership & Licence

2.6.1. Your Content

You retain full ownership of uploaded Content, granting us a perpetual, royalty-free, worldwide license to host, cache, and transmit it solely for Service delivery; this non-exclusive right enables backups and optimizations without derivative alterations.

2.6.2. Our Content

We exclusively own platform elements (e.g., UI designs, codebases), extending you a revocable, limited license for personal use within the Services; any reverse engineering, redistribution, or commercialization thereof constitutes material breach.

2.6.3. Third-Party Content

Embedded third-party materials (e.g., via APIs) remain under originator control; you assume liability for any hosted third-party Content, with us facilitating DMCA-compliant takedowns upon verified infringement claims.

2.7. API / Developer Terms

2.7.1. API Access

API eligibility requires an active Account in good standing, with keys issued post-registration via developer portal; usage is capped at tiered quotas to ensure equitable resource allocation.

2.7.2. API Usage

Permitted integrations include automation scripts and app extensions, subject to documented rate limits (e.g., 1000 calls/hour) and OAuth-based authentication to validate sessions securely.

2.7.3. API Restrictions

Decompiling endpoints, exceeding quotas via proxies, or leveraging for competitive benchmarking is prohibited; commercial deployments necessitate explicit addendums outlining scaled limits.

2.7.4. API Security

Safeguard keys as confidential assets, reporting compromises immediately; we may revoke access for anomalies, with audit logs retained for compliance.

2.7.5. API Billing

Usage beyond included allocations is subject to metered billing, calculated based on actual consumption and invoiced cyclically with transparent usage dashboards.

2.8. Hosting Specifics / Hosting SLA

2.8.1. Service Description

Offerings span shared, VPS, and dedicated hosting with features like one-click installs and auto-scaling; limitations include no guaranteed custom hardware, focusing on standard LAMP/LEMP stacks.

2.8.2. Uptime Commitment

We guarantee 99.9% monthly uptime, measured via external pings excluding maintenance windows; exclusions cover user-induced downtimes or force majeure events.

2.8.3. Support Levels

Tiered responses: critical issues within 1 hour via chat/ticket; standard queries in 24 hours; escalations route to senior engineers with defined SLAs.

2.8.4. Resource Limits

Plans include defined allocations for storage, bandwidth, CPU, and concurrent connections. Usage beyond these thresholds may trigger automated throttling, alerts, or additional charges, depending on the service tier.

2.8.5. Service Credits

Service credits may apply in the event of uptime shortfalls beyond defined thresholds. Eligible claims must be submitted through the support portal within the specified window and are issued automatically upon validation.

2.9. Billing & Payment References

2.9.1. Fees and Charges

Transparent pricing tiers are provided, with optional add-ons available based on service needs. Any pricing adjustments will be communicated at least 60 days in advance and will not apply retroactively.

2.9.2. Payment Terms

Payments are processed through authorized gateways with support for recurring billing on monthly or annual cycles. Invoices must be settled within the due period to avoid service interruptions or late fees, as outlined in your billing terms.

2.9.3. Refund Policy

Eligible within 7 days for unused Services (no prorata on domains); requests via billing@technotalim.com, processed in 5-10 business days per our detailed Refund Policy.

2.10. Suspension, Takedown & Termination

2.10.1. Suspension

Temporary halts occur for suspected breaches (e.g., AUP violations), initiated post-warning with 24-hour review; durations vary from 48 hours to indefinite pending investigation.

2.10.2. Takedown Process

Court orders or valid DMCA notices prompt content removal within 24 hours; counter-notices allow 10-day holds for judicial review.

2.10.3. Termination

For egregious or repeated infractions, full cessation follows 7-day cure notice; effects include data export windows and accrued fee forfeiture.

2.10.4. Appeals Process

Submit appeals to appeals@technotalim.com within 7 days, detailing rebuttals; reviews conclude in 14 days, with decisions final barring manifest error.

2.11. Intellectual Property Infringement / Takedown Process

2.11.1. Reporting Infringement

Reports via dmca@technotalim.com require claimant details, infringing specifics, and ownership proofs; we verify authenticity before proceeding.

2.11.2. Takedown Procedure

Valid claims yield suspensions within 48 hours, with uploader notifications and preservation for disputes; repeat offenses escalate to termination.

2.11.3. Counter-Notice Procedure

Users submit sworn statements affirming good faith and intent to litigate; content restores post-10-day hold absent claimant action.

2.11.4. Repeat Infringers

Three verified instances trigger Account bans; we exercise discretion for contextual mitigations like educational warnings.

2.12. Warranties & Disclaimers

2.12.1. Service Warranties

Services are furnished "as-is" sans merchantability or fitness guarantees; explicit warranties limited to uptime SLAs, disclaiming all others.

2.12.2. Content Warranties

We proffer no assurances on user Content accuracy or legality; non-endorsement of views, with users solely accountable for compliance.

2.12.3. Third-Party Services

Integrated tools (e.g., Razorpay) carry no warranties from us; their terms govern, absolving us from resultant liabilities.

2.13. Limitation of Liability & Indemnity

2.13.1. Limitation of Liability

Aggregate liability capped at three months' fees; exclusions for indirect damages (e.g., lost profits) under tort or contract, grounded in risk allocation.

2.13.2. Indemnity

You indemnify us against third-party claims from your Content/usage; we reciprocate for core Service defects, with mutual cooperation in claims handling.

2.13.3. Exceptions to Limitations

Caps yield for gross negligence, IP infringements by us, or statutory mandates (e.g., consumer protections); fraud voids all disclaimers.

2.14. Governing Law & Dispute Resolution

2.14.1. Governing Law

Terms construed under Indian law, invoking IT Act, 2000, and Contract Act, 1872; ambiguities resolved favoring enforceability.

2.14.2. Jurisdiction

Exclusive venue in Thrissur,Kerala courts, waiving objections to personal jurisdiction therein.

2.14.3. Dispute Resolution

The parties agree to attempt in good faith to resolve any dispute, controversy, or claim arising out of or relating to this Agreement through informal negotiations within thirty (30) days of written notice. If unresolved, the matter shall proceed to mediation administered under the auspices of the Indian Institute of Arbitration and Mediation (IIAM) or another mutually agreed institution.

2.14.4. Arbitration Details

If mediation fails to resolve the dispute, it shall be finally resolved through binding arbitration in accordance with the provisions of the Indian Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted under the rules of the ICC India (International Chamber of Commerce, India Chapter), with the seat of arbitration in Delhi, proceedings conducted in the English language, and the arbitral award shall be final and binding on the parties and enforceable globally.

2.15. Changes to Terms & User Notification

2.15.1. Process for Changes

Updates via documented revisions, effective upon posting; notifications ensure awareness of material alterations.

2.15.2. Your Options

Post-change use connotes acceptance; rejection permits Account closure with data portability, sans further obligations.

2.15.3. Record of Changes

Version logs archived at terms.technotalim.com/history; prior iterations accessible on request, with summaries highlighting key shifts (e.g., AUP expansions).
