Partner Program Agreement

2. Eligibility & enrollment

• You must have a valid TechnoTaLim console account with a verified email.
• Your application is reviewed by us and approved at our discretion. We may decline or revoke partner status at any time.
• One partner account per person/entity. Creating multiple accounts to manipulate tiers or attribution is prohibited.
• To receive cash payouts you must provide a valid PAN (required for tax) and a payout method (bank/UPI). A GSTIN is optional.

3. Referrals & attribution

When someone visits via your referral link, a first-party cookie records your code. When they create an account, they are bound to you on a first-touchbasis — this attribution is permanent and a customer can only ever be attributed to one partner.

• From then on, any paid plan that customer buys across Web Hosting, Forms and Store accrues commission to you.
• Attribution cannot be transferred or reassigned. We are the sole arbiter of attribution disputes.
• You may not refer your own accounts, or accounts you control (self-referral). Such commissions are void.

4. Commission

• Rate (tiered): Starter 15%, Growth 20%, Elite 25%. Your tier is set by us based on your active referrals / revenue and may change going forward; the rate applied to each commission is the rate in effect when that payment is recorded.
• Recurring & lifetime: commission accrues on every successful payment (including renewals) for as long as the referred customer remains subscribed, unless we notify you of a capped term in writing.
• Basis: commission is a percentage of the amount actually collected from the customer (net of taxes/fees as applicable). Free plans, ₹0 charges, and amounts not collected earn nothing.
• Status flow: a new commission is held as pending during a clawback window, then becomes available (withdrawable), then paid on payout.

5. Refund clawback & reversals

Commissions are provisional until the clawback window passes. A commission is reversed(set to zero) if the underlying payment is refunded, charged back, or otherwise reversed, or if the subscription is cancelled within the window.

• The standard clawback window is 30 days from when the commission is earned.
• If a reversed commission has already been paid out, the amount may be deducted from your future earnings or recovered from you.
• Commissions arising from fraudulent, incentivised, or policy-violating activity are void at any time.

6. Payouts & taxes

• Withdrawal: you may request a withdrawal once your available balance reaches the minimum (currently ₹1,000). Requests are reviewed before funds are sent.
• Method & timing: you provide a payout destination — UPI or bank account (with the account-holder name matching your PAN). We send the money through a payment partner of our choosing; after approval, funds typically reach you within 3–5 working days.
• TDS: tax may be deducted at source on commission under Section 194H of the Income-tax Act. Where applicable, the current rate (presently 2%) is withheld on amounts above the annual threshold (presently ₹20,000 per financial year) and deposited against your PAN; you receive the net amount. Rates/thresholds follow prevailing law.
• GST: if you are GST-registered you must raise a valid tax invoice; GST is your responsibility. Unregistered partners are paid without GST.
• You are solely responsible for declaring and paying any further taxes on your commission income.

7. Prohibited conduct

You must not, and you agree the following void related commissions and may end your partner status:

• Self-referral or referring accounts you own or control.
• Spam — unsolicited email, SMS, or messaging, or any unlawful promotion.
• Trademark bidding / cybersquatting — bidding on “TechnoTaLim” or confusingly similar terms in paid ads, or using our name in domains/handles in a misleading way.
• Misrepresentation — false claims about the products, pricing, guarantees, or your relationship with us.
• Incentivised / fake signups, cookie stuffing, or any attempt to game attribution or commission.
• Using our brand assets except as we permit, or implying you are us.

8. Term, suspension & termination

• This Agreement runs until terminated by either party. You may leave at any time; we may suspend or terminate your partner status at our discretion, with or without cause.
• On termination for cause (fraud or breach), unpaid and pending commissions are forfeited.
• On termination without cause, available commissions that have cleared the clawback window remain payable, subject to the minimum withdrawal and these terms.
• Sections on clawback, taxes, confidentiality, and liability survive termination.

9. Confidentiality & data

• Your dashboard shows referred-customer information in a masked form (e.g. partial email). You must not attempt to identify, contact, or misuse referred customers’ personal data.
• You will keep any non-public information about the program confidential and use it only to perform under this Agreement.
• We process your data per our Privacy Policy.

10. General

• Changes: we may update these terms; the current version governs. Material changes will be notified, and continued participation means acceptance.
• No guarantee: the program, rates, and products are provided “as is”; we do not guarantee any level of earnings and may change or discontinue the program.
• Liability: to the extent permitted by law, our total liability under this Agreement is limited to commissions properly payable to you that remain unpaid.
• Independent contractor: nothing here creates an employment, agency, partnership, or joint-venture relationship.
• Governing law: the laws of India; courts at Thrissur, Kerala have jurisdiction.
